ADICLUB MEMBERSHIP RULES

1. Objective
Welcome to adiCLUB Membership! The Rules of the adiCLUB Membership, together with the terms, conditions and rules referred hereto or quoted herein, and their versions as amended, changed and added from time to time (hereinafter collectively referred to as “these Rules”), are intended to clearly define the conditions and rules under which you register as an adiCLUB Member, and the rights, obligations and responsibilities of both parties when you are using the Member Services provided by adidas Hong Kong Limited and / or its designated affiliates (hereinafter collectively referred to as "adidas", "we" or "our“,and the grammatical derivatives thereof shall be construed accordingly).
Before you sign up to be an adiCLUB Member, please read these Rules carefully, in particular those bold-faced and underlined terms, which contain important information relating to your rights and obligations as well as limitations and exclusions which may apply to you. If you have any questions, comments or suggestions about the terms or contents of these Rules, please feel free to contact us during the designated office hours through the customer service hotline at (852) 3100-0496 (Monday to Sunday: 10:00-22:00). We are willing to help and provide appropriate assistance.
By clicking the “Agree” button to these Rules when signing up for adiCLUB Membership, you are deemed to have fully read, understood and accepted these Rules in all aspects. If you do not agree with these Rules or any part hereof, please immediately stop signing up for adiCLUB Membership.
2. Definition
Unless otherwise stated, the following terms in these Rules have the following meanings:
2-1. “Member(s)”, “adiCLUB Member(s)” or “you” refer to any individual(s) who submit(s) application and signs up for adiCLUB Membership, completes the application process according to these Rules and thereby becomes a registered adiCLUB Member.
2-2. “Member Services” refer to the services provided by adidas to the Members, including managing the Members’ transaction records and providing information relating to products and consumption, whereas the specific Member Services will have to depend on those services available at that time.
2-3. “adidas Official Website” refer to the adidas Hong Kong official online store at adidas.com.hk (including the website(s) which can be accessible via computer terminal and/or mobile terminal) and relevant mobile applications.
2-4 “Designated adidas Retail Stores” means the adidas physical retail stores as detailed in https://www.adidas.com.hk/adiCLUB/shoplist. We reserve the right to update or amend the adidas physical retail store list in https://www.adidas.com.hk/adiCLUB/shoplist from time to time without prior notice.
2-5 “Hong Kong” refers to Hong Kong Special Administrative Region of the People's Republic of China.
2-6 “HKD” or "HK$" refers to Hong Kong Dollars, the lawful currency of Hong Kong.
3. Introduction of Member Services
3-1. You need to correctly complete the membership registration process as set out under these Rules before you can become a Member and enjoy and/or use the Member Services provided by adidas.
3-2. After becoming a Member, you can earn Member Points when: (i) you use your registered mobile phone number or email address to log in and purchase adidas products on the adidas Official Website (provided there are no refunds or returns); or (ii) you purchase adidas products in any Designated adidas Retail Stores (provided there are no refunds or returns). Members can redeem Member Points to enjoy exclusive Member privileges according to these Rules, which may include discount coupons, access to exclusive Member experiences, access to limited edition adidas products and gifts, provided that Members comply with the applicable terms and conditions when redeeming the Member Points.
4.Validity and Amendment of these Rules
4-1. These Rules shall apply to you since you submit Membership application.
4-2. adidas may amend these Rules from time to time in accordance with applicable laws and regulations and for the purpose of maintaining trading order, protecting consumer rights, adjusting Membership plans or Member Services, etc. If adidas amends these Rules, adidas will notify the Members by any one or more of the following methods: a) emails, b) letters, c) adidas Official Website, d) SMS.
4-3. Any amendment to these Rules shall become effective 7 days after date of notice (or such other effective date as specified in the notice). Please check these Rules regularly to keep yourself posted of relevant amendments in time. If you are not agreeable to any amendment, you shall cease to use the Member Services before the effective date of such amendment, and such amendment will not apply to you. If you continue to use the Member Services after the amendment becomes effective, you will be deemed to have fully accepted such amendment.
4-4. By signing up to be a Member or using Member Services via adidas Official Website, you also agree to abide by all relevant terms and conditions of adidas Official Website, in addition to these Rules. Please refer to https://www.adidas.com.hk/terms_condition?locale=en_GB for the terms and conditions of adidas Official Website.
5. Member Registration
5-1. To become a Member, you must submit Membership application and complete the registration process via adidas Official Website, specific procedures include: a) reading and accepting these Rules, b) filling in your email address and/or mobile phone number (as specified) c) completing the specified verification procedure, and d) filling in all other necessary personal information including your date of birth and location. The information provided by you in applying for Membership must be accurate, complete and without any omission, otherwise adidas reserves the right not to accept the application or to cancel the relevant registration. All personal data you provide to adidas will be subject to adidas' Privacy Policy (Please see https://www.adidas.com.hk/private_policy?locale=en_GB). Each individual can only submit a Membership application for once and register for one Membership account. After the review by adidas, all the duplicated Membership applications, duplicated Membership accounts and the Member Points in those relevant Membership accounts will be cancelled.
5-2. Membership is not transferrable and shall not be leased or inherited at any time and shall not be used for other purposes (including but not limited to mortgage). Members shall be fully liable for the consequences arising from violation of this Article.
5-3. At any time, we may review the validity of the information for your Membership registration in accordance with applicable laws, regulations and rules, and may log you out or terminate your Membership based on the results of the review.
6. Membership Qualifications and Restrictions
6-1. Membership is permanently valid during your lifetime unless Member requests for withdrawal and submits application for withdrawal or upon occurrence of other events where the Membership should be terminated according to these Rules. Membership level will have a specific validity period depending on your spending, different levels of Members may enjoy different Membership privileges during the relevant validity period of such level of Memberships. (The specific privileges of different levels of Membership are subject to the latest information as updated on adidas Official Website from time to time).

• Membership Levels:

Standard Member: You can become a Standard Member by completing the Membership registration process in accordance with Article 5-1 of these Rules.
Bronze Card Member: After completing the Membership registration process in accordance with Article 5-1 of these Rules and becoming a Standard Member, if you accumulate 1,000 Member Points in aggregate in any consecutive 12 months, you will be automatically upgraded to a Bronze Card Member from the date when on which the aforesaid Member Points are generated.
Silver Card Member: After completing the Membership registration process in accordance with Article 5-1 of these Rules and becoming a Bronze Card Member, if you accumulate 4,000 Member Points in aggregate in any consecutive 12 months, you will be automatically upgraded to a Silver Card Member from the date when on which the aforesaid Member Points are generated.
Gold Card Member: After completing the Membership registration process in accordance with Article 5-1 of these Rules and becoming a Silver Card Member, if you accumulate 8,000 Member Points in aggregate in any consecutive 12 months, you will be automatically upgraded to a Gold Card Member from the date when on which the aforesaid Member Points are generated.
The Rules governing the computation of the Member Points are set out in Article 7 of these Rules, “Use and Limitations of Member Points”. The Member Points generated by malicious bills, purchases for non-consumption purposes and other illegal transactions are invalid. We have the discretion to cancel, invalidate, deduct or adjust the corresponding Member Points depending on to the circumstances. After successfully becoming a Bronze Card Member or Member of higher level, if by reason of any return or refund of goods or services stated in the purchase receipt the final Member Points falls below the specified transaction amount required to become a Member of the relevant level, the Membership will be downgraded accordingly.

• Validity Period for Different Memberships Levels:

The validity period for Bronze Card /Silver Card /Gold Card Membership(s) is 12 months (The computation of the 12-month period is illustrated by the following example). Membership level of newly registered Bronze Card /Silver Card /Gold Card Members becomes valid from the date when such Member effectively becomes the respective level of Member; the level of the upgraded Bronze Card Membership/Silver Card Membership/Gold Card Membership or the downgraded Bronze Card Membership/Silver Card Membership starts from the upgrading date/downgrading date. For example, if a Member becomes a Gold Card Member on January 15, 2019, in the absence of a valid renewal, his/her Gold Card Membership level will expire on January 14, 2020. With effect from January 15, 2020, such Member will be downgraded to a Silver Card Member/Bronze Card Member/Standard Member (as the case may be).

Unless otherwise terminated in accordance with these Rules, validity period for Standard Members has no expiry date.

• Renewal and Restrictions:
• Bronze Card Membership Renewal: Bronze Card Membership will be automatically renewed if a Bronze Card Member accumulates 1,000 Member Points in aggregate during the validity period for the Bronze Card Membership level. The renewal period will start from the renewal date till last day of the 12th month.
• Silver Card Membership Renewal: Silver Card Membership will be automatically renewed if a Silver Card Member accumulates 4,000 Member Points in aggregate during the validity period for the Silver Card Membership level. The renewal period will start from the renewal date till last day of the 12th month; if a Silver Card Member's Member Points during the validity period for the Silver Card Membership reach 1,000 but fall short of 4,000, the Silver Card Member will be automatically downgraded to Bronze Card Member on the first day immediately following the expiration date of the original Silver Membership level.
• Gold Card Membership Renewal: Gold Card Membership will be automatically renewed if a Gold Card Member accumulates 8,000 Member Points in aggregate during the validity period for Gold Card Membership level. The renewal period will start from the renewal date till last day of the 12th month; if a Gold Card Member's Member Points during the validity period for the Gold Card Membership reach 4,000 but fall short of 8,000, the Gold Card Member will be automatically downgraded to Silver Card Member on the first day immediately following the expiration date of the original Gold Membership level; if a Gold Card Member's Member Points during the validity period for the Gold Card Membership reaches 1,000 but falls short of 4,000, the Gold Card Member will be automatically downgraded to Bronze Card Member on the first day immediately following the expiration date of the original Gold Membership level.
• If a Bronze Card /Silver Card /Gold Card Member’s Member Points during the validity period of the respective Membership level does not reach 1,000, he/she will be automatically downgraded to Standard Member on the first day immediately following the expiration date of the original Membership level.
For example, if a Member becomes a Gold Card Member on January 15, 2019, his/her Member Points reaches 8,000 within the period from January 15, 2019 to January 14, 2020, his/her Gold Card Membership will be automatically renewed on January 15, 2020. The renewed Gold Card Membership will be valid from January 15, 2020 to January 14, 2021; if his/her Member Points within the period from January 15, 2019 to January 14, 2020 reaches 4,000 but falls short of 8,000, he/she will be automatically downgraded to Silver Card Member from January 15, 2020, the Silver Card Membership is valid from January 15, 2020 to January 14, 2021, and so on.
7. Use and Limitations of Member Points
7-1. Member Points
(1) Members can receive 100 Member Points upon successfully registering as a Member by completing the Membership registration process in accordance with Article 5-1 of these Rules. With the exception of the situations provided in Article 7-1(4) below, when Members (i) log in to their Membership account and make purchase of adidas products by using online payment method allowed by the adidas Official Website or (ii) provide their Membership account number before payment when making purchase of adidas products at any Designated adidas Retail Stores,100% of the exact purchase price actually paid for the adidas product will be counted as Member Points. HK$1 = 1 Member Point, the actual payment amount which is less than HK$1 will not be counted as Member Point. The Member Points will be generated and become effective on the 22nd day after the Member has successfully placed the order and completed the payment (without refund or return). For example, if a Member has actually paid HKD500.8 and does not apply for a refund or return afterwards, the Member will earn 500 Member Points on the 22nd day after the order is placed and paid. After the purchase of adidas product, Members can return the adidas products according to the Return and Exchange Policy published by adidas with the recognised official receipt. No Member Points or shall be generated out of the purchase of adidas product if the adidas product is returned or refunded, and the amount of refund will not be counted towards the Member Points.
(2) Cash discounts or any amount deducted by coupons will not be counted towards the Member Points (for example, if a Member uses a HK$400 discount coupon on a transaction with a total purchase price of HK$1,000, only 600 Member Points will be added from the transaction).
(3) Members can check the Member Points after logging in to the Membership account on adidas Official Website. The Member Points generated by the purchase will be displayed in their Membership account on the 22nd day after the Member has placed the order and made payment.
(4) Notwithstanding the provisions of Article 7-1(1) above, no Member Points will be generated in the following cases:

- Purchase not made via the adidas Official Website or at any Designated adidas Retail Stores

- Any spending amount made via the adidas Official Website or any Designated adidas Retail Stores before becoming a Member

- If Members cannot provide their Membership account number before payment when making purchase of adidas products at any Designated adidas Retail Stores; Any claim request of Member Points after the transaction is made will not be entertained

- Certain adidas products for which it was expressed to be disregarded for the purpose of Member Points

- Shipping fee of fees for customization services arising out of purchase made on adidas Official Website

- Complimentary gifts or giveaways for promotion events or gifts with purchase

- non adidas branded products

- adidas products purchased with staff discounts

- If Members resell their adidas products on third-party sites or e-commerce platforms, the Member Points generated from such transaction will not be counted, and adidas has the right to deduct or adjust the Member Points which has already been generated at its discretion.

(5) If the Member has dishonest or illegal transactional behaviour, adidas has the right to cancel the transaction, deduct or adjust the Member Points, or restrict Member from acquiring Member Points.
(6) In the case of Article 7-1 (5) above, if Member disagrees with the occurrence of "dishonest or illegal transactional behaviour", the Member shall raise objection to adidas in writing and submit the required materials to adidas within 14 days after adidas takes the corresponding measures. adidas will inform such Member about the handling results within 10 working days. For the purposes of this Article and these Rules, "working day" means the normal business day of a licensed bank in Hong Kong (excluding Saturdays, Sundays, public holidays and any weekday on which at any time between 9 am and 5 pm a tropical cyclone warning signal No. 8 or above or black rainstorm warning is in force in Hong Kong).
(7) In the case of Article 7-1(6) above, if the Member has not raised objection within 30 days from the date of the notice, the Member shall be deemed as accepting the result.
(8) No Member Points may be transferred, assigned, collected or gifted to other Members/a third party.
(9) Member Points cannot be exchanged for cash, redeemed or repaid, and no change can be given.
(10) adidas may change the rules of Member Points or organize different membership activities to allow members to earn extra Member Points from time to time as appropriate. adidas will update the information through adidas Official Website or Designated adidas Retail Stores to inform Members the latest rules of earning Member Points.
7-2. Usage of Member Points
(1) Members may redeem Member Points to enjoy exclusive Member privileges available to the specific Membership Level, which may include discount coupons, access to exclusive Member experiences, access to limited edition adidas products and gifts, provided that Members comply with the applicable terms and conditions for redeeming the Member Points. The exclusive Member privileges available to each Membership Level may be notified by adidas to Members through the adidas Official Website, SMS or email from time to time.
(2) In addition to the exclusive Member privileges in Article 7-2(1) above, adidas may also occasionally issue promotional coupons and other coupons to all or specific Members that can be used on the adidas Official Website or at any Designated adidas Retail Stores. The use of any coupons are subject to its relevant terms and conditions, which may be notified to the Members through the adidas Official Website, SMS or email, etc each time when such coupons are distributed. If the relevant conditions are inconsistent with these Rules, the information publicized at that time shall prevail.
7-3. Correction of Member Points
(1) Application can be made to adidas to correct any error relating to Member Points within 30 days after the generation or change thereof. If a Member finds any error in the Member Points within 30 days after the generation or change of the same, and such error is caused by adidas, the Member can submit relevant formal documents to adidas and request for correction within aforesaid 30-day period. Upon receiving correction request together with formal receipt or any other document recognized by adidas from the Member, adidas will make the correction within 60 days.
(2) adidas is in charge of the operation and management of the scheme relating to Member Points. adidas has the right to cancel, invalidate, deduct or adjust the Member Points under specific circumstances, and will notify Members with the same through email address, phone or SMS. Members may raise objection against the cancellation, invalidation, deduction or adjustment of Member Points in writing within 30 days after adidas issues the above notice. In case of any dispute, adidas reserves the right of final decision.
7-4. Time Limit of Member Points
Cumulated Member Points will bevalid for a term of 12 months from the date of generation, expired Member Points will be automatically invalidated.
If any Member Points are cancelled, deducted or invalidated in accordance with these Rules, the Member Points left after adjustment will automatically be counted as the final Member Points .
8.Termination of Membership
8-1. adidas has the right to terminate the Membership of any Member at its sole discretion by issuing a notice to such Member, including but not limited to the occurrence of any of the following events, in which case Membership will be terminated with effect from the date of notice, provided that adidas has the right to immediately terminate the Membership without any notice upon occurrence of event as set out in Article 8-1(3) below:
(1) Information relating to Membership application is found to be inaccurate;
(2) Wrongful accumulation of member points, or use of Member Services for any purpose other than those set out under these Rules;
(3) Death or loss of civil capacity of the Member;
(4) The Member disrupting activities of other Members, or using the personal data of other Members thereby causing harms to such other Members, or conducting any other acts which infringe legitimate rights and interests of other persons.
(5) Malicious bills or other acts of defrauding, misappropriating or illegally possessing any member points, subsidies, promotions or benefits of other Members (if any).
(6) The Member's violation of the terms and conditions of these Rules, damage of public order and good morals, or violation of the legal and regulatory requirements.
8-2. Any Member may apply to terminate his/her Membership via adidas Official Website at any time. Upon receipt of your termination request, we will verify your identity, log out your Membership account upon successful verification, and upon your request, remove your personal data from the systems involved in the implementation of our day-to-day business functions such that it can be kept in an irretrievable and inaccessible manner. At the same time, we reserve the right to keep a backup of relevant information and records in the back-end system in accordance with the requirements of applicable laws and regulations, in which may include your personal data.
8-3. Subject to adidas’s sole discretion, once Membership is terminated, all member points as well as other rights and privileges pertaining to such Membership will immediately expire and be invalidated with effect from the date of termination, and aforesaid rights and privileges will not be restored even if the Member reapplies for Membership.
8-4. Subject to Article 11 of these Rules, adidas reserves the right of final decision in case of any disputes regarding termination of Membership.
9. Privacy Policy
9-1. adidas uses the information you provide and share to enhance our services and your experience. adidas respects the privacy of its Members. Please see our “Privacy Policy” at https://www.adidas.com.hk/private_policy?locale=zh_HK regarding the collection, use and protection of your personal data by adidas. The “Privacy Policy” forms an integral part of these Rules. You must read the Privacy Policy carefully before you become a Member and use Member Services. By using our Member Services, you are deemed to have consented to the use and protection of your personal data by adidas in accordance with the Privacy Policy.
9-2. If you do not agree to this Article 9 or any of the terms, conditions and rules (including but not limited to the Privacy Policy) or any part thereof referred to in this Article 9, please stop using the Member Services immediately.
10.Indemnify of Damages and Limitation of Liability
10-1. You agree to indemnify and hold harmless adidas and member entities in its group, and members, management, directors, employees, agents, licensees and suppliers of the aforesaid companies (collectively referred as “Designated Third Party(ies)”) against any claims, losses, liabilities, expenses or damages arising out of or in connection with your behaviours, your breach of these Rules, your illegal acts or your infringement or aiding and abetting in infringement of rights of adidas, its group companies and the Designated Third Party(ies).
10-2. Unless otherwise explicitly provided under law and to the maximum extent permitted by the applicable law,
(1) adidas shall not be liable for any indirect, incidental, special, punitive, penalized or consequential damages in whatever form, no matter how the damages may occur, and whether arising out of tort, breach of contract or otherwise.
(2) To the maximum extent permitted by applicable laws, adidas declares that it has made no representations or warranties, no matter in what form, whether expressed or implied, (except for any warranty under applicable laws applicable to consumers that cannot be legally excluded), but this Article 10-2(2) would not affect your rights as a consumer under the law.
(3) adidas shall not be liable for any damages or losses to any Members in the absence of clear evidence proving intentional misconduct or gross negligence of adidas.
10-3. To the largest extent permitted by applicable law, adidas will not be liable for any claims, requests, liabilities or litigation caused by or arising from the omissions, negligence and/or failure to provide us with the latest information by customer or Member, or the accuracy or completeness of such information.
11. Applicable Law and Jurisdiction
11-1. These Rules and the transactions relating to these Rules are governed by the Hong Kong law, and shall be interpreted in accordance with the laws of Hong Kong.
11-2. Any dispute or controversy arising out of or in connection with these Rules shall be settled by amicable and faithful negotiation between you and adidas to the extent possible. In the absence of gross negligence, adidas reserves the final right of decision on such dispute or controversy. If the negotiation fails, such disputes or controversy shall be submitted to the exclusive jurisdiction of a court with competent jurisdiction in Hong Kong.
11-3. If any provision of these Rules or any part in any provision of these Rules is determined as illegal, invalid or unenforceable, such provision or such part will be deemed to be severed from the other provisions or other parts in the relevant provision, the validity and enforceability of the remaining provisions of these Rules or the remaining part of the relevant provisions shall not be affected.
12.Third Party Rights
12-1. Subject to Article 12-2, no person shall have any right under the Contracts(Rights of Third Parties) Ordinance (Cap 623, Laws of Hong Kong) ("Rights of Third Parties Ordinance") to enforce or enjoy the benefit of any of the provisions of these Rules.
12-2. The Designated Third Party defined in Article 10-1 of these Rules may rely on any provision of these Rules by the virtue of Rights of Third Parties Ordinance only if and to the extent that:
(1) expressly such provision limits or excludes the liability of the Designated Third Party; or
(2) such provision expressly confers on the Designated Third Party other rights or benefits (including but not limited to any indemnity).
12-3. Unless as otherwise expressly provided in these Rules, no right or benefit under any provision of these Rules enforceable under the Rights of Third Parties Ordinance shall be assigned by the Designated Third Party to another person.
13. Language
If there is any inconsistency or ambiguity between the English version and the Chinese version of these Rules, the English version shall prevail.
